Terms and Conditions of Business

These Terms and Conditions apply to all quotations, estimates, works and services provided by BRIGHT SPARK “the Company”, “we”, “us”, “our”) to any customer (“the Customer”, “you”, “your”).

2. Quotations and Estimates

All quotations are valid for 30 days unless otherwise stated.

Any estimate provided is an approximation only and may be subject to adjustment if additional work, materials or unforeseen circumstances arise.

A quotation is based solely upon the information available at the time of inspection and may be revised if hidden defects or unforeseen conditions are discovered.

3. Acceptance of Quotation

Acceptance of a quotation may be made in writing, by email, electronically, verbally, or by instructing the Company to commence work.

Upon acceptance, these Terms and Conditions shall form part of the contract between the Customer and the Company.

4. Deposits and Payments

The Company may require a deposit before works commence.

For larger projects, staged payments may be required at agreed intervals.

Final payment shall become due immediately upon completion of the works unless otherwise agreed in writing.

The Company reserves the right to invoice for completed stages of work.

5. Late Payments

Invoices not paid by the due date may incur interest at a rate of 8% above the Bank of England base rate together with any reasonable costs incurred in recovering the debt.

The Company reserves the right to suspend work until outstanding balances are paid in full.

6. Ownership of Materials

All materials supplied by the Company shall remain the property of the Company until paid for in full.

The Company reserves the right to remove unpaid materials from site where legally permitted.

7. Variations and Additional Works

Any additional works requested by the Customer which are not included within the original quotation shall be treated as a variation.

Variations may result in additional charges and revised completion dates.

The Company shall endeavour to provide costs for variations before commencing such work where reasonably practicable.

8. Access to Property

The Customer shall provide safe and reasonable access to the property during agreed working hours.

The Customer shall ensure access to electricity, water and toilet facilities where reasonably available.

Delays caused by restricted access may result in additional charges.

9. Customer Responsibilities

The Customer shall remove or protect valuable items, furniture, decorations, artwork and personal belongings from work areas before works commence.

Whilst reasonable care will be taken, the Company accepts no liability for items left within the work area.

10. Unforeseen Conditions

The Company cannot be held responsible for hidden defects or conditions not visible during the quotation stage including but not limited to:

  • Damp and water ingress
  • Structural defects
  • Asbestos-containing materials
  • Defective plaster
  • Rotten timber
  • Unsafe electrical installations
  • Hidden pipework or services

Any remedial works required shall be treated as additional works.

11. Decorating and Plastering Works

The Company shall prepare surfaces using industry-standard methods appropriate to the condition of the substrate.

The Company cannot guarantee against:

  • Future cracking caused by building movement
  • Damp-related failures
  • Peeling caused by previous coatings
  • Failure of previously unsound plaster
  • Colour fading due to sunlight
  • Defects concealed beneath existing finishes

Minor surface imperfections may become visible after decoration due to lighting conditions and existing substrate condition.

12. Colour Matching

Exact colour matching between existing and newly decorated surfaces cannot be guaranteed.

Where partial decoration is undertaken, differences in appearance between old and new finishes may occur.

13. Kitchen, Flooring and Joinery Installations

All dimensions and product specifications supplied by the Customer shall remain the Customer’s responsibility unless expressly measured and specified by the Company.

The Company shall not be responsible for manufacturing defects in customer-supplied products.

Natural timber, laminate, stone and similar materials may contain variations in colour, grain and texture.

14. Delays Beyond Our Control

The Company shall not be liable for delays caused by circumstances beyond its reasonable control including:

  • Material shortages
  • Supplier delays
  • Adverse weather conditions
  • Industrial disputes
  • Illness
  • Utility failures
  • Acts of God

15. Waste Disposal

Waste removal is excluded unless specifically stated within the quotation.

Skip hire, parking permits, parking charges, congestion charges and permit suspensions shall be chargeable in addition where applicable.

16. Completion and Snagging

The Customer shall inspect the works upon completion and notify the Company of any defects within 14 days.

The Company shall be given reasonable opportunity to inspect and rectify any genuine workmanship defects.

17. Workmanship Guarantee

The Company provides a 12-month workmanship guarantee from the date of practical completion.

The guarantee excludes:

  • Normal wear and tear
  • Accidental damage
  • Building movement
  • Damp or water ingress
  • Third-party alterations
  • Manufacturer defects
  • Lack of maintenance

18. Cancellation

The Customer may cancel the contract by written notice.

  • More than 14 days before commencement: no charge.
  • 7–14 days before commencement: loss of deposit.
  • Less than 7 days before commencement: 25% of contract value.
  • Less than 48 hours before commencement: 50% of contract value.

Where materials have been ordered specifically for the project, the Customer shall remain liable for all non-refundable costs incurred.

19. Consumer Rights

Nothing within these Terms and Conditions shall affect the Customer’s statutory rights under the Consumer Rights Act 2015 or any other applicable legislation.

20. Limitation of Liability

The Company’s liability for any claim arising from the contract shall be limited to the value of the works carried out under that contract.

Nothing within these Terms excludes liability for death or personal injury caused by negligence, fraud or any liability that cannot legally be excluded.

21. Privacy

Customer information shall be processed in accordance with our Privacy Policy and applicable UK data protection legislation.

22. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
